This is the part of the policy that covers LIABILITY of the Insured which are not covered under Section I due to the Limits in the Schedule. The Company will indemnify the Insured for his legal liability in accordance with all the provisions of Section I but only in excess of:

1. The limits of liability for Section I and II when such limits have been exhausted, or
2. The liability limits required for Scheduled Vehicle under Section 377 of the Insurance Code in the event no coverage exists as described in paragraph (a) above.
